Agency

Definition:
A consensual (sometimes contractual) relationship whereby an individual known as a principal(s) agrees to have another person known as agent(s) act on his/her behalf subject to his/her control.
Gratuitous vs. Nongratuitous (Compensated)

Classification of Agents

By scope of authority
1. Universal
2. General
3. Special

By duty to be performed
1. Auctioneer
2. Broker
3. Factor/commission merchant
4.     Promoter (can't really be an agent of the corporation since the corporation is not in existence at the time.  Therefore,  the promoter is personally liable until the corparation ratifies the act and will remain liable unless there is a novation.
5.     Del credere agent (not required to be in writing because it it is not a guarantee.)
6. Exclusive agency
7.    Agent coupled with an interest is the only agency that is irrevocable

By control of the P
1. Servant: P has control or right to control the acts of A, therefore, P has tort liability (vicarious liability, respondeat superior)
2. Agent: P has control over the outcome of the act but not necessarily control over the means and methods of achieving the outcome, therefore, reduced liability only liable in relation to the outcome to be accomplished.

No Agency

1. Independent contractor: Principal  has no control and no liability unless Principal is negligent or takes control over the indepengent contractor.
